1. Introduction and Acceptance
Welcome to this online store. In these Terms of Use ("Terms"), the website, its mobile versions, and related digital services are collectively called the "Platform"; the operator of the Platform is referred to as "the Store", "we", "our", or "us". These Terms govern your access to and use of the Platform and all purchases, transactions, and communications conducted through it.
By accessing or using the Platform — including browsing, registering an account, placing an order, or simply visiting any page — you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
These Terms are executed electronically under Republic Act No. 8792 (Electronic Commerce Act of 2000). Online purchases are also subject to Republic Act No. 11967 (Internet Transactions Act of 2023), the Consumer Act, and applicable Department of Trade and Industry rules.

2. Definitions
For purposes of these Terms, the following definitions shall apply:
- "Platform"
- The website, mobile versions, and related digital services and tools operated by the Store.
- "User" / "You"
- Any individual or entity who accesses, browses, registers on, or makes a purchase through the Platform.
- "Account"
- A registered profile created by a User on the Platform that enables access to certain features, purchase history, and personalized services.
- "Products"
- Any goods, digital items, services, accessories, or other offerings made available for purchase through the Platform.
- "Order"
- A formal request submitted by a User through the Platform to purchase one or more Products at the stated price and under the conditions set forth therein.
- "Consumer"
- As defined under Republic Act No. 7394 (Consumer Act of the Philippines), a natural person who is the ultimate user or beneficiary of a product or service for personal, family, household, or agricultural purposes.
- "Content"
- All text, images, photographs, graphics, logos, audio, video, software, data, and other materials available on or through the Platform.
- "Intellectual Property"
- Patents, trademarks, trade names, service marks, copyrights, trade secrets, and other proprietary rights owned or lawfully used by the Store or their respective owners.
- "Philippine Law"
- The laws, statutes, regulations, and issuances of the Republic of the Philippines applicable to these Terms.
3. Eligibility and Account Registration
3.1 Eligibility Requirements
To use the Platform and make purchases, you must: (a) be at least eighteen (18) years of age, or have obtained the consent of a parent or legal guardian who agrees to be bound by these Terms; (b) have the legal capacity to enter into binding contracts under Philippine law; (c) not be prohibited by any applicable law, regulation, or court order from using the Platform; and (d) provide accurate, complete, and current information when registering or placing an order.
Minors between the ages of fifteen (15) and seventeen (17) may use the Platform only with the express consent and supervision of a parent or legal guardian, who shall be jointly and severally liable for any transactions conducted.
3.2 Account Registration
Certain features of the Platform require Account registration. When creating an Account, you agree to: (a) provide truthful, accurate, and complete registration information; (b) promptly update your information to maintain its accuracy; (c) maintain the confidentiality of your username and password; (d) immediately notify the Store at contact@newtimescomputer.com of any unauthorized use of your Account or any security breach; and (e) accept responsibility for all activities that occur under your Account.
the Store reserves the right to suspend or terminate any Account that contains false or inaccurate information, violates these Terms, or poses a risk to the Store or other Users, without prejudice to any legal remedies available under Philippine law.
3.2.1 Suspension and Banning of Accounts
the Store may suspend, restrict, or permanently ban an Account, with or without prior notice, where it reasonably believes that any of the following has occurred or is likely to occur:
- fraud, a chargeback or payment dispute made without basis, or any other payment abuse;
- abuse of promotions, vouchers, or loyalty points, including earning or redeeming them other than through genuine purchases;
- false, misleading, or abusive refund, return, cancellation, or warranty claims;
- repeated cancelled, refused, undelivered, or unpaid orders, or orders placed to hold stock;
- use of more than one Account by the same person, or an attempt to get around an earlier suspension or ban;
- false, incomplete, or misleading Account or order information;
- abusive, threatening, or harassing behaviour towards the Store's staff, couriers, or other Customers;
- purchase for resale or other commercial use without the Store's consent;
- interference with, or an attempt to gain unauthorised access to, the Platform, or any use that puts its security at risk;
- any other breach of these Terms, or conduct that the Store reasonably considers harmful to it, its staff, its Customers, or its suppliers, or that exposes it to legal or financial risk.
The decision is made by the Store on the basis of its own records, which are conclusive in the absence of obvious error. To protect its fraud-prevention measures, the Store may tell you only that the Account has been suspended and need not disclose the evidence or the methods used to detect the conduct. the Store is not liable for any loss arising from a suspension or ban made in good faith under this Section.
If you believe your Account was suspended or banned by mistake, you may ask for a review by contacting us within thirty (30) days, giving the email address on the Account and any information you want considered. the Store will review the request once and its decision after that review is final.
Orders already paid for before the suspension or ban will be delivered or refunded, at the Store's option. Loyalty points and vouchers are dealt with under Section 19.3. A person whose Account has been banned may not register or use another Account, or place orders as a guest, without the Store's written consent. Nothing in this Section limits any right you have under Philippine law that cannot be excluded by agreement.
3.3 Corporate and Business Accounts
If you register on behalf of a corporation, partnership, or other juridical entity, you represent and warrant that you have the authority to bind such entity to these Terms. Such entity shall be jointly and severally liable for any breach of these Terms.
3.4 Account Security and Automated Protections
To protect Customers and the Platform, the Store uses automated safeguards, including limits on repeated sign-in, registration, and form submissions, and filters against automated or abusive traffic. These safeguards may temporarily delay or block a request, including a legitimate one. the Store is not liable for any loss arising from a request that was delayed or blocked by these safeguards; if you are affected, wait a short while and try again or contact us.
Orders, cancellations, refund requests, warranty claims, point redemptions, and other actions made while signed in to your Account are treated as made by you. Tell us immediately if you believe someone else has used your Account.
4. Products, Pricing, and Availability
4.1 Product Descriptions
the Store makes every effort to ensure that product descriptions, images, specifications, and technical details on the Platform are accurate and current. However, the Store does not warrant that product descriptions or any other Platform content is error-free, complete, or up to date. Product images are for illustrative purposes and actual products may vary slightly in appearance. In the event that a product you order is materially different from its description, you may return it in accordance with Section 7.
4.2 Pricing
Prices are displayed in Philippine pesos (PHP). Applicable taxes and charges are included or disclosed as required by Philippine law and the store's tax registration. The price applicable to an order is the price confirmed at checkout, subject to the correction of genuine and obvious errors.
the Store complies with the price display and labeling requirements under RA 7394 and relevant Department of Trade and Industry (DTI) issuances. Any pricing errors are subject to correction, and the Store reserves the right to cancel orders placed based on erroneous prices, with full refund to the affected Customer.
4.3 Product Availability
Product availability is not guaranteed. the Store reserves the right to limit quantities, discontinue products, or decline orders without prior notice. In cases where an ordered product becomes unavailable after payment, the Store will notify you and issue a full refund within seven (7) business days or offer a suitable alternative at your option.
4.4 Pre-orders
Products marked "Pre-order" are not yet in stock. Any expected delivery or availability date shown is an estimate only and is not a guaranteed delivery date; it may change because of the manufacturer, supplier, shipping, customs, or other causes outside the Store's control. A delay in availability does not by itself entitle you to compensation. If a pre-ordered Product cannot be supplied at all, the Store will cancel the pre-order and refund every amount you paid for it, including any pre-order fee.
4.5 Pre-order Fee and Remaining Balance
Some pre-orders are reserved by paying a pre-order fee at checkout, with the remaining balance payable when the Product becomes available. By paying a pre-order fee you agree that:
- the pre-order fee is deducted from the Product's price and is non-refundable if you cancel the pre-order, change your mind, or do not pay the remaining balance on time, because it reserves stock for you that is then withheld from other Customers;
- when the Product is available we will email the address on the order asking you to pay the remaining balance. It must be paid within 14 days of that request. It is your responsibility to keep your email address correct and to check it, including spam or junk folders;
- if the remaining balance is not paid within that period, the reservation lapses, the order may be cancelled, and the pre-order fee is forfeited. the Store may, at its sole discretion, issue a new request for payment, but is not obliged to;
- a pre-order paid with a pre-order fee must be checked out separately from other Products, and cash on delivery is not available for the pre-order fee;
- the Product is shipped only after the remaining balance is paid in full, or confirmed as payable on delivery where that option is offered.
The pre-order fee is refunded in full where the Store cannot supply the Product, cancels the pre-order for its own reasons, or where a refund is required by Philippine law.
4.6 Pre-orders With the Price to Be Announced
Where a Product is offered for reservation before its price is known ("Price to be announced"), the pre-order fee reserves a unit only and does not fix the price. The final price is set by the Store when the Product becomes available and is stated in the request for the remaining balance; the pre-order fee is deducted from it.
Any estimated, expected, or indicative price shown or communicated before the final price is announced is an estimate only. It is not an offer, a quotation, or a price guarantee, and the final price may be higher or lower than the estimate. By reserving a Product whose price is to be announced, you accept the risk that the final price differs from any estimate or from what you expected.
A final price that you consider too high, or that differs from an estimate, is not a ground for a refund of the pre-order fee. If you choose not to pay the remaining balance at the final price, Section 4.5 applies: the reservation lapses and the pre-order fee is forfeited.
5. Orders and Payment
5.1 Order Process
Placing an order through the Platform constitutes an offer to purchase the selected Products at the stated price and under these Terms. the Store reserves the right to accept or decline any order at its discretion. An order is deemed accepted only upon the Store's issuance of an official order confirmation, which shall be sent to the email address registered on your Account. Prior to confirmation, the Store may reject or cancel orders for any reason, including but not limited to product unavailability, pricing errors, or suspected fraud.
5.2 Payment Methods
Available payment methods are displayed at checkout and may vary according to the order, billing location, enabled payment gateways, and store configuration. Payment services may be supplied by independent third-party processors under their own terms and privacy notices.
By providing payment information, you represent and warrant that: (a) you are authorized to use the payment method provided; (b) the payment information is accurate and complete; and (c) you authorize the Store to charge the stated amount to your chosen payment method. Unauthorized use of another person's payment instrument is punishable under Republic Act No. 8484 (Access Devices Regulation Act).
5.3 Official Receipts
Receipts, invoices, or equivalent transaction documents will be provided in the form and manner required by applicable Philippine tax rules and the store's registration and invoicing setup.
5.4 Cancelling an Order
You may cancel an order from your Account only while it has not yet been shipped. Once an order is marked as shipped it can no longer be cancelled online; after it is delivered, Section 7 applies instead. A cancellation you submit is final and cannot be undone: to buy the Products again you must place a new order at the price and availability current at that time.
Cancelling does not itself move any money. Where an amount was paid online, the refund is reviewed and issued by the Store afterwards through the original payment method where supported, within the time stated in our Refund and Returns Policy. Pre-order fees are governed by Section 4.5. the Store may limit or refuse online cancellation where it is being used abusively, for example repeated ordering and cancelling to hold stock.
5.5 Order Status, Tracking, and Notifications
Order statuses, courier names, tracking numbers, and tracking links shown in your Account, on the order-tracking page, or in emails are provided for your convenience. Tracking information is supplied by the courier, and the Store does not guarantee that it is accurate, complete, or up to date. A status such as "Shipped" or "Delivered" reflects the information available to us at the time and does not by itself prove delivery or change your statutory rights.
Anyone who has both the order number and the billing email address can view that order's status on the order-tracking page; keep these details private. Emails about your orders, pre-orders, refund requests, warranty claims, and vouchers are sent to the address on the order or Account. They are a courtesy: the Store is not responsible for emails that are delayed, filtered as spam, or not received, and deadlines in these Terms run whether or not an email was read. Current information is always available in your Account.
5.6 Back-in-Stock Alerts and Newsletter
A back-in-stock alert is a one-time notice that a Product is available again. It does not reserve stock, hold a price, or guarantee that the Product will still be available when you visit. Newsletter subscriptions are confirmed by email and may be cancelled at any time using the unsubscribe link; see our Privacy Policy.
6. Delivery and Shipping
6.1 Delivery Areas and Timelines
Available delivery areas, shipping fees, carriers, and estimated delivery times are shown during checkout or published on our Shipping & Returns page. Estimates are not guaranteed and may be affected by the destination, stock location, weather, courier capacity, and force majeure events described in Section 15.
6.2 Risk of Loss
Pursuant to the Civil Code of the Philippines, risk of loss passes to the buyer upon delivery to the carrier or courier designated by the Store. the Store shall not be liable for loss or damage to Products while in transit, except where such loss or damage is attributable to the Store's gross negligence or willful misconduct.
6.3 Non-Delivery
If delivery cannot be completed due to an incorrect address, absence of an authorized recipient, or refusal of delivery, the Store or the courier may attempt redelivery or return the Product. You may be charged a re-delivery fee. If the Product is returned to the Store due to non-delivery, the Store will contact you to arrange redelivery or issue a refund less any applicable shipping and handling fees.
7. Returns, Refunds, and Exchanges
the Store complies with the consumer protection provisions of Republic Act No. 7394 (Consumer Act of the Philippines) and all applicable DTI regulations on consumer rights to replacement, repair, and refund.
7.1 Return Window
Eligibility periods, conditions, exclusions, and return instructions are stated in our Refund and Returns Policy. The policy displayed at the time of purchase applies, subject always to rights and remedies that cannot be excluded under Philippine law.
7.2 Non-Returnable Items
The following items are non-returnable except in cases of manufacturing defects: (a) Products that have been installed, connected, or activated; (b) downloadable software or digital licenses; (c) consumables that have been opened; (d) Products expressly marked as "final sale" or "non-returnable" at the time of purchase.
7.3 Defective and Incorrect Products
If you receive a Product that is defective, damaged upon arrival, lost without your fault, or different from what was ordered, contact contact@newtimescomputer.com promptly with the order details and available photographs. Where RA 7394 or RA 11967 applies, available remedies may include repair, replacement, refund, or another remedy provided by law, and a required return for replacement or refund will be arranged without cost to the consumer.
7.4 Refund Processing
Approved refunds are processed according to our Refund and Returns Policy and normally returned through the original payment method where supported. Posting times may vary between payment providers and financial institutions.
7.5 Consumer Rights Under RA 7394
Nothing in this Section limits your statutory rights under the Consumer Act. In particular, under Article 68 of RA 7394, consumers are entitled to replacement, repair, or refund for Products found to be defective within the warranty period, regardless of the commercial return policy stated herein.
7.6 Refund Requests, Decisions, and Disputes
A refund request submitted from your Account is a request for review. Submitting it, or the order showing "Refund requested", does not mean the refund has been approved, and no money is returned until the Store approves the request and issues the refund. the Store may ask for photographs, the return of the Product, or other reasonable proof before deciding, and may decline a request that does not meet the Refund and Returns Policy, giving its reason on the order.
If a request is declined you may dispute the decision once, from the same order page, within 7 days of the decline. If no dispute is filed within that period the case is closed. A decision made after a dispute is the Store's final decision under its commercial policy. Nothing in this Section removes any remedy you have under RA 7394 or other Philippine law, or your right to bring a complaint to the Department of Trade and Industry.
Information you give in a refund request or dispute must be true. False or misleading requests may be declined and may lead to suspension of the Account under Section 3.2.
8. Warranty Policy
8.1 Standard Product Warranty
Warranty provider, duration, coverage, exclusions, and claim procedures vary by Product. The applicable information is shown on the Product page, accompanying documentation, or our Warranty Policy. Manufacturer warranties are provided by the relevant manufacturer or distributor unless the Product page expressly states that the store provides the warranty.
8.2 Warranty Coverage
Coverage and exclusions are determined by the warranty terms supplied with the Product and the Warranty Policy. Nothing in a commercial warranty excludes statutory consumer rights that apply to the transaction.
8.3 EV Charging Products
EV charging products are additionally subject to the safety and quality standards prescribed by the Department of Energy (DOE), Department of Science and Technology (DOST), and the Philippine Electrical Code. Installation must be performed by a licensed Professional Electrical Engineer (PEE) or Master Electrician registered with the Professional Regulation Commission (PRC). Warranty for EV chargers is void if installed by uncertified personnel.
8.4 How to Claim Warranty
To request assistance, visit our Product Support page or Contact Us. Proof of purchase, serial number, photographs, or diagnostic information may be requested where reasonably necessary to assess a claim.
8.5 Statutory Guarantees Under Philippine Law
This warranty is in addition to, and does not limit, any rights you may have under the Consumer Act of the Philippines (RA 7394) and the Product Standards Law (RA 4109). Where statutory guarantees apply, the remedies available to you are not limited by this warranty.
8.6 Online Warranty Claims
Warranty claims may be filed and followed from your Account. By filing a claim you confirm that the information given — including the serial number, purchase details, and description of the fault — is true and complete, and that you own the unit or are authorised by its owner. One open claim is accepted per serial number.
- Filing is not approval. A claim, and any status shown before a final decision, is not a commitment to repair, replace, or refund. Whether a unit is repaired, replaced, or the claim is declined is decided after assessment under the applicable warranty terms and the law. Any timeframes given are estimates.
- Proof of purchase. For Products bought elsewhere than this Platform, valid proof of purchase is required. the Store may decline a claim where proof is missing, unreadable, altered, or cannot be verified, or where the Product was not sold by the Store or an authorised seller.
- Links you provide. Proof of purchase, photographs, and videos are provided as links to files in your own cloud storage. You are responsible for those files, for keeping the link working while the claim is open, and for who else can open it. the Store does not store these files and is not liable for their loss, deletion, or disclosure through your storage provider. Do not include unrelated personal or sensitive information.
- Sending the unit. Unless the law or the warranty terms provide otherwise, you are responsible for safely packing and delivering the unit, and for backing up and removing your data, accounts, and accessories not requested. the Store is not liable for data lost during assessment or repair.
- Responding. If we ask for more information and receive no reply within a reasonable time, the claim may be closed. You may file a new claim while the warranty period is still running.
False or fraudulent claims may be declined and may lead to suspension of the Account. This Section does not limit the statutory guarantees described in Section 8.5.
9. Intellectual Property Rights
9.1 Ownership
All Content on the Platform — including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the overall look and feel of the Platform — is the exclusive property of the Store or its content licensors and is protected by applicable Philippine and international intellectual property laws, including but not limited to Republic Act No. 8293 (Intellectual Property Code of the Philippines), copyright law, trademark law, and trade secret law.
9.2 Limited License
the Store grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial purposes in connection with browsing and purchasing Products. This license does not include the right to: (a) reproduce, distribute, modify, or create derivative works; (b) publicly display or perform any Content; (c) use any data mining, robots, or similar data-gathering tools; (d) download or copy Account information for the benefit of another merchant; or (e) use the Platform for any commercial purpose without the Store's prior written consent.
9.3 Trademarks
Names, logos, and marks displayed on the Platform belong to their respective owners. The store name and original store materials may be protected by applicable trademark, copyright, and unfair-competition laws. Display of a third-party brand does not transfer ownership or imply an affiliation beyond an authorized reseller, distributor, or other commercial relationship where applicable.
9.4 User-Submitted Content
If you submit reviews, comments, photographs, or other content to the Platform, you grant the Store a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, and distribute such content in any media, subject to our Privacy Policy. You represent that you own or have the necessary rights to submit such content and that it does not infringe any third party's intellectual property rights.
10. User Conduct and Prohibited Activities
In using the Platform, you agree to comply with all applicable Philippine laws, including but not limited to Republic Act No. 10175 (Cybercrime Prevention Act of 2012), and you shall not:
- Use the Platform for any unlawful, fraudulent, or deceptive purpose;
- Engage in unauthorized access to, interference with, or disruption of the Platform or its servers (constituting offenses under RA 10175);
- Transmit any unsolicited commercial communications (spam), malware, viruses, worms, Trojan horses, or other harmful code;
- Collect or harvest any personal data of other Users without their express consent, in violation of Republic Act No. 10173 (Data Privacy Act of 2012);
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Post or transmit any content that is false, misleading, defamatory, obscene, pornographic, or otherwise violates Philippine law, including the Anti-Photo and Video Voyeurism Act (RA 9995) and the Anti-Child Pornography Act (RA 9775);
- Engage in any activity that manipulates, abuses, or circumvents the Store's pricing, promotions, or inventory systems;
- Use the Platform to engage in money laundering or any activity that violates the Anti-Money Laundering Act (RA 9160, as amended);
- Resell or commercially exploit any Products purchased through the Platform without the Store's prior written consent;
- Attempt to gain unauthorized access to any portion of the Platform, other users' accounts, or the Store's servers and databases.
Violations of these prohibitions may result in immediate suspension or termination of your Account, cancellation of pending orders, and civil or criminal liability under applicable Philippine law.
11. Electronic Transactions
In accordance with Republic Act No. 8792 (Electronic Commerce Act of 2000) and its Implementing Rules and Regulations, you agree that:
- Electronic contracts formed through the Platform are legally valid, binding, and enforceable to the same extent as contracts in written documentary form;
- Your electronic acceptance of these Terms (including by clicking "I Agree" or by completing a purchase) constitutes a valid and binding electronic signature;
- Electronic documents, order confirmations, and receipts sent by the Store to your registered email address shall constitute sufficient written notice for purposes of these Terms;
- You consent to receive notices, communications, and disclosures electronically in lieu of paper-based communications, and such communications satisfy any legal requirements that such communications be in writing.
12. Limitation of Liability and Disclaimer
12.1 Disclaimer of Warranties
The Platform and all Content are provided on an "as is" and "as available" basis, without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or completeness. the Store does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. This disclaimer does not affect any statutory warranties that cannot be excluded under Philippine law.
12.2 Limitation of Liability
To the fullest extent permitted by Philippine law, the Store's aggregate liability to you for any claims arising out of or related to these Terms, the Platform, or any Products purchased shall not exceed the total amount paid by you to the Store in the twelve (12) months immediately preceding the event giving rise to the claim.
the Store shall not be liable for any: (a) indirect, incidental, special, or consequential damages; (b) loss of revenue, profit, data, or goodwill; (c) damages arising from reliance on inaccurate Platform content; or (d) damages arising from third-party services or linked websites — whether or not the Store has been advised of the possibility of such damages.
Nothing in this Section limits the Store's liability for: (a) death or personal injury caused by the Store's gross negligence or willful misconduct; (b) fraud or fraudulent misrepresentation; (c) any other liability that cannot be excluded or limited under Philippine law, including statutory consumer rights under RA 7394.
13. Indemnification
You agree to indemnify, defend, and hold harmless the Store, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, and attorneys' fees arising out of or relating to: (a) your use or misuse of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law, rule, or regulation; (d) your infringement of any intellectual property or other rights of any third party; or (e) any content you submit to the Platform. the Store reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with the Store's defense of such claim.
14. Third-Party Links and Services
The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by the Store. the Store provides these links for your convenience only and does not endorse, control, or assume any responsibility for the content, privacy policies, or practices of any third-party websites or services. Your interactions with such third parties are solely between you and them, and the Store shall not be liable for any loss or damage resulting from your use of third-party services. We encourage you to review the terms and privacy policies of any third-party sites you visit.
the Store integrates third-party payment processors, logistics partners, and analytics providers to operate the Platform. These third parties are independent contractors subject to their own terms and privacy policies, and are required by the Store to handle your data in accordance with the Data Privacy Act of 2012, as further described in our Privacy Policy.
15. Force Majeure
the Store shall not be liable for any delay in, or failure of, performance resulting directly or indirectly from acts beyond the Store's reasonable control, including but not limited to: (a) acts of God, natural disasters, earthquakes, typhoons, floods, volcanic eruptions, or other natural calamities; (b) acts of war, terrorism, insurrection, or civil disturbances; (c) strikes, lockouts, or other labor disputes; (d) epidemic, pandemic, or public health emergencies declared by the Philippine government or the World Health Organization; (e) actions of any government authority, including national or local quarantine measures; (f) power outages, internet service disruptions, or failures of third-party service providers; or (g) any other cause beyond the Store's reasonable control.
In the event of a force majeure, the Store will promptly notify affected customers and make commercially reasonable efforts to fulfill pending orders as soon as practicable.
16. Dispute Resolution and Governing Law
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
16.2 Consumer Disputes
For consumer disputes involving purchases of Products, you may file a complaint with:
- Department of Trade and Industry (DTI) — Consumer Protection Group, through the DTI Hotline 1-384 or at www.dti.gov.ph;
- National Privacy Commission (NPC) — for data privacy concerns, at www.privacy.gov.ph.
16.3 Amicable Settlement
Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute amicably within thirty (30) days of one party notifying the other of the dispute in writing. If the dispute cannot be resolved amicably within such period, either party may submit the dispute to mediation or arbitration, or proceed to litigation as provided below.
16.4 Venue and Jurisdiction
If informal resolution fails, a claim may be brought before the DTI or another competent Philippine authority or court, subject to applicable jurisdiction, venue, and consumer-protection rules. Nothing in these Terms removes a forum or remedy that Philippine law makes available to a consumer.
17. Amendments
the Store reserves the right to modify, update, or replace these Terms at any time, at its sole discretion. When we make material changes, we will notify you by posting the updated Terms on the Platform with a new "Last Updated" date and, where reasonably practicable, by sending a notification to your registered email address. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the revised Terms.
If you do not agree to the revised Terms, you must immediately cease using the Platform and, if applicable, deactivate your Account. You may request deactivation by contacting us at contact@newtimescomputer.com.
18. General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies or agreements expressly incorporated herein, constitute the entire agreement between you and the Store with respect to the Platform and supersede all prior agreements, understandings, and representations.
18.2 Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, such provision shall be severed, and the remaining provisions shall continue in full force and effect.
18.3 No Waiver
the Store's failure or delay in exercising any right, power, or remedy under these Terms shall not constitute a waiver of that or any other right, power, or remedy. A waiver of any right under these Terms is only effective if it is in writing and signed by the Store.
18.4 Assignment
You may not assign or transfer any of your rights or obligations under these Terms without the Store's prior written consent. the Store may freely assign these Terms and its rights and obligations hereunder, including in connection with a merger, acquisition, or sale of assets, without your prior consent.
18.5 Language
These Terms are written in the English language. In the event of any conflict between the English version and any translation, the English version shall prevail.
19. Loyalty Points and Reward Vouchers
the Store may offer a loyalty programme in which registered Customers earn points on purchases and exchange them for reward vouchers. Taking part is optional and free. By earning or redeeming points you agree to this Section.
19.1 Earning Points
- Points are earned only on orders placed while signed in to a registered Account. Guest orders earn no points, and points are not added afterwards to orders placed as a guest or before the programme or its earning rate was in effect.
- Points are credited only when an order is marked Completed. They are worked out on the amount paid for each Product after discounts, excluding taxes, shipping, and other fees; fractions of a point are dropped.
- The earning rate, and the Products that earn more, fewer, or no points, are set by the Store and may be changed at any time. A change applies only to orders completed after it.
- If an order is cancelled, returned, or refunded in whole or in part, the points earned on it are taken back in the same proportion. If those points were already spent, your balance may become negative, and points you earn later are first applied to that negative balance.
19.2 Expiry of Points — No Reinstatement
Points expire 12 months after the date of the order that earned them (or, for points added by the Store, after the date they were added). The points that expire soonest are used first when you redeem. Your balance and the next expiry date are shown in your Account under Loyalty & Vouchers, and it is your responsibility to check them.
Expired points are permanently forfeited. the Store will not reinstate, restore, extend, re-credit, replace, or compensate for points that have expired, for any reason — including that you did not know of the expiry date, did not receive or read a reminder, did not sign in, were unable to use the Platform, or had too few points for a reward before they expired. the Store is not obliged to send expiry reminders. The only exception is where points expired or were removed because of a proven error in the Store's own systems, in which case the Store will correct the balance.
The expiry period may be changed for points earned after the change.
19.3 Nature of Points
Points have no cash or monetary value. They are not your property, cannot be exchanged for money, and cannot be sold, transferred, gifted, inherited, or combined between Accounts. Points may be used only to redeem the rewards offered in your Account. Points are forfeited when an Account is closed or deleted, whether at your request or under these Terms.
If your Account is banned, suspended, or terminated by the Store — for example for fraud, abuse, or a breach of these Terms — all loyalty points in that Account, and all unused reward vouchers redeemed with them, are forfeited immediately and permanently. They will not be reinstated, transferred to another Account, or compensated, including if the Account is later reopened or you register a new one.
19.4 Reward Vouchers
- Redeeming a reward deducts the points immediately and issues a voucher code. A redemption is final: it cannot be reversed, and the points are not returned if you change your mind or do not use the voucher.
- Each voucher can be used once, only by the Account that redeemed it, on a single order that meets any minimum spend shown. It cannot be exchanged for cash. If the order is worth less than the voucher, the unused part is forfeited and no change is given.
- Each voucher is valid only for the period shown when it is redeemed. An expired voucher is not extended, reissued, or replaced, and the points spent on it are not returned.
- Where an order paid partly with a voucher is later cancelled or fully refunded, the points spent on that voucher are returned to your balance and the voucher is closed; it is not reissued.
- Rewards are subject to availability. A reward may be limited in total number, offered on a first-come, first-served basis, or limited to a set number of redemptions per Customer, and the Store may change, withdraw, or replace any reward, or the points it costs, at any time. Vouchers already redeemed are not affected.
- Whether a voucher can be combined with other vouchers, promotions, or pre-order fees is determined at checkout.
19.5 Corrections, Misuse, and Changes to the Programme
the Store may correct any balance that is wrong, including by removing points credited in error. the Store may withhold, remove, or cancel points and vouchers, and may suspend an Account's participation, where it reasonably believes they were obtained through fraud, abuse, multiple Accounts, orders placed to be cancelled or returned, a breach of these Terms, or a technical error.
the Store may change, suspend, or end the loyalty programme, in whole or in part. Where the programme is ended, the Store will give notice on the Platform and state the date after which points can no longer be earned or redeemed; points not redeemed by that date are forfeited without compensation. the Store's records of points, redemptions, and expiry are conclusive in the absence of obvious error.
Nothing in this Section limits any right you have under Philippine law that cannot be excluded by agreement.
